Terms and Conditions

These Terms & Conditions ("Terms") govern your use of the website brightideaco.com and all services, programs, products, and digital content offered by Bright IDEA Consulting, LLC ("BIC" or "Bright IDEA"), including its WELLth | Inner Realm wellness programs. By accessing our website or purchasing any product or service, you agree to be bound by these Terms.

BIC operates two distinct service lines: (1) Bright IDEA Consulting, providing instructional quality assurance, professional development, and organizational wellness services to government and private agencies; and (2) WELLth | Inner Realm, providing wellness education, coaching, and community programs to individual clients. These Terms apply to both service lines unless otherwise specified.

1. Acceptance of Terms

By using our website, registering for a program, purchasing a product or service, or submitting any form, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please discontinue use of our website and services immediately.

BIC reserves the right to refuse service to anyone at its sole discretion.

2. Educational, Coaching and Consulting Purpose

All programs, materials, content, and services offered by Bright IDEA Consulting, LLC and WELLth | Inner Realm are provided for educational, informational, and coaching purposes only.

Bright IDEA Consulting, LLC and WELLth | Inner Realm do not provide legal, medical, psychiatric, clinical, or financial advice. Our wellness programs are not a substitute for licensed mental health therapy, medical treatment, clinical diagnosis, or any other licensed professional service. Participation in our programs does not create a therapist-client, physician-patient, or any other licensed professional relationship. Individual results from program participation will vary and are not guaranteed.

If you are experiencing a mental health crisis, medical emergency, or require clinical support, please contact a licensed healthcare professional or emergency services immediately.

3. Eligibility

Our individual wellness programs are intended for adults aged 18 years and older. By purchasing or enrolling in any WELLth | Inner Realm program, you confirm that you are at least 18 years of age. BIC's organizational consulting services are available to qualifying government agencies, private organizations, and educational institutions.

4. Intellectual Property

All content, materials, frameworks, methodologies, tools, curriculum, course materials, graphics, text, and proprietary instruments - including but not limited to the Tutoring Observation Tracker (TOT) and BIC's analytical methodology - are the exclusive intellectual property of Bright IDEA Consulting, LLC.

You may not, without prior written consent from BIC:

• Reproduce, copy, distribute, or republish any program content or materials

• Modify, adapt, or create derivative works from BIC's content or methodology

• Sell, license, sublicense, or transfer BIC's materials to any third party

• Use BIC's proprietary tools or frameworks in your own professional practice or services

• Record, screenshot, or capture live program sessions for redistribution

Unauthorized use of BIC's intellectual property may result in termination of access and legal action.

5. Program Enrollment and Access

A. Individual Wellness Programs

Upon purchase of any WELLth | Inner Realm program - including the Inner Realm Masterclass, 3-Day Challenge, 30-Day Reset, or Inner Circle Membership - you will receive access as described in the program details at the time of purchase. BIC reserves the right to modify program content, delivery format, or scheduling with reasonable notice to enrolled participants.

B. Membership Terms

Inner Circle Membership is offered at the current rate on a monthly or annual basis. Membership auto-renews unless cancelled. You may cancel your membership at any time; cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused membership periods.

C. Organizational Consulting Services

Consulting engagements with government agencies and private organizations are governed by a separate Scope of Work (SOW) agreement executed between BIC and the client organization. In the event of any conflict between these Terms and an executed SOW, the SOW shall govern.

6. Payment and Pricing

All prices are listed in U.S. dollars. Payment is due at the time of purchase unless otherwise specified in a written agreement. BIC accepts payment via the methods listed at checkout, which may include credit card, Zelle, or check for organizational clients.

BIC reserves the right to modify pricing at any time. Price changes will not affect purchases already completed.

7. Refund and Cancellation Policy

A. Digital Products and Individual Programs

Due to the immediate-access nature of digital products and online programs, all sales are final. Bright IDEA Consulting, LLC maintains a strict no-refund, no-exchange policy unless otherwise stated in writing at the time of purchase.

Cohort-based program participants who are unable to complete a cohort due to documented extenuating circumstances may request to complete unfinished sessions in a future cohort, subject to availability and BIC's sole discretion. This accommodation does not constitute a refund or credit.

B. Appointments and Coaching Sessions

All appointments and coaching sessions require a minimum of 24 hours' advance notice for cancellation or rescheduling. Appointments cancelled with less than 24 hours' notice or missed without notice will be charged in full.

BIC reserves the right to waive this policy in documented emergency circumstances at its sole discretion.

C. Organizational Consulting

Cancellation and refund terms for organizational consulting engagements are governed exclusively by the executed Scope of Work agreement between BIC and the client organization.

8. Community Standards and Participant Conduct

Participants in BIC and WELLth | Inner Realm programs, community spaces, and coaching environments agree to:

• Engage respectfully with other participants, facilitators, and staff

• Maintain the confidentiality of personal disclosures made by other community members

• Refrain from sharing, redistributing, or reproducing program content outside the program environment

• Refrain from harassment, discrimination, or conduct that disrupts the learning environment

BIC reserves the right to remove any participant from a program or community platform for violations of these community standards, without refund, at its sole discretion.

9. Testimonials and Results Disclaimer

Testimonials shared on our website, social media, or marketing materials reflect the individual experiences of specific participants. They are not guarantees of results. Individual outcomes from participation in any BIC or WELLth | Inner Realm program will vary based on individual effort, circumstances, and other factors outside BIC's control.

10. Website Use and Third-Party Links

While we strive for accuracy, our website may contain errors, omissions, or outdated information. Bright IDEA Consulting, LLC makes no warranties regarding the completeness or accuracy of website content and is not liable for damages arising from reliance on it.

Links to third-party websites are provided for convenience only and do not constitute an endorsement of those sites or their content. BIC is not responsible for the privacy practices or content of third-party sites.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Bright IDEA Consulting, LLC, its principals, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from:

• Your use of or inability to use our website, programs, or services

• Reliance on any content, advice, or information provided through our programs

• Unauthorized access to or alteration of your data

• Any other matter relating to our services

BIC's total liability to you for any claim arising under these Terms shall not exceed the amount you paid to BIC for the specific program or service giving rise to the claim in the three months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Bright IDEA Consulting, LLC, its principals, employees, contractors, and affiliates from any claims, losses, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any third party's rights.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any disputes arising under these Terms shall first be submitted to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved through binding arbitration in Seminole County, Florida, in accordance with applicable arbitration rules, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any executed Scope of Work or service agreement, constitute the entire agreement between you and Bright IDEA Consulting, LLC regarding your use of our services. They supersede all prior communications, representations, or agreements.

16. Modifications yo These Terms

BIC reserves the right to update or modify these Terms at any time. Updated Terms will be posted on our website with a revised effective date. Your continued use of our website or services following any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
